1. ACCEPTANCE OF TERMS
By accessing, browsing, or using the website located at https://www.oldenterprise.org/ (the "Site"), including making any purchases through our online shop, you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the Site.
Enterprise Preservation Society, Inc. ("EPS," "we," "us," or "our") is a nonprofit organization dedicated to the preservation of the history and heritage of Enterprise, Florida. Our physical location, the Enterprise Museum, is located at 360 Main Street in Historic Enterprise, FL.
2. USE OF THE SITE
You may use the Site for lawful purposes only. You agree not to:
- Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
- Use the Site to transmit or send unsolicited commercial communications.
- Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site.
- Use any automated means, including robots, crawlers, or scrapers, to access the Site for any purpose without our express written permission.
- Interfere with or disrupt the integrity or performance of the Site or its contents.
- Attempt to impersonate EPS, an EPS employee, another user, or any other person or entity.
3. PRODUCTS AND SERVICES
Our online shop offers the following types of products and services:
a) Event Tickets: Tickets for EPS-hosted events such as the annual Enterprise Chili Cook-Off and other community events. Event tickets are subject to the specific terms and conditions associated with each event.
b) Memberships: Annual memberships to the Enterprise Preservation Society at $15.00 per year. Membership benefits include access to the members-only area of the Site and other benefits as determined by EPS from time to time.
c) Donations: Voluntary financial contributions to support the mission and operations of EPS. Donations are not purchases of goods or services.
All products, services, pricing, and availability are subject to change without notice.
4. ORDERING AND PAYMENT
a) Placing Orders: By placing an order through our Site, you represent that you are at least 18 years of age and that all information you provide is accurate and complete.
b) Pricing: All prices are listed in U.S. dollars. We reserve the right to change prices at any time without prior notice. Prices are confirmed at the time of purchase.
c) Payment: We accept payment through the payment methods available at checkout. All payments are processed by our third-party payment processor. EPS does not store your complete credit card information. By providing payment information, you represent that you are authorized to use the payment method provided.
d) Order Confirmation: Upon completion of a purchase, you will receive an email confirmation with your order details and order number. If you are purchasing a membership for someone else, please have them enter the order number when signing up for access to the members-only area of the Site.
e) Errors: We reserve the right to correct any errors in pricing or product descriptions, and to cancel any orders placed based on incorrect information.
5. REFUND AND CANCELLATION POLICY
a) Event Tickets: Event ticket purchases are generally non-refundable. If an event is canceled by EPS and not rescheduled, a full refund will be issued. If an event is rescheduled (such as a rain delay date), your ticket will be valid for the rescheduled date and no refund will be issued.
b) Memberships: Membership fees are non-refundable. Memberships are valid for one year from the date of purchase.
c) Donations: Donations are voluntary and non-refundable. Donation receipts will be provided for tax purposes upon request.
d) Refund Process: Approved refunds will be processed using the original payment method within 10-14 business days.
6. MEMBERSHIP TERMS
a) Duration: EPS memberships are valid for one (1) year from the date of purchase.
b) Member Access: Active members may be eligible for login access to the members-only area of the Site. If we already have your email address on file, you will automatically be eligible for access. New members will receive login credentials after their membership purchase is confirmed.
c) Renewal: Memberships do not automatically renew. Members are responsible for renewing their membership before or after expiration.
d) Termination: EPS reserves the right to revoke membership at any time for violation of these Terms or conduct detrimental to the organization, without refund.
7. INTELLECTUAL PROPERTY
All content on the Site, including but not limited to text, graphics, logos, images, photographs, audio, video, and software, is the property of Enterprise Preservation Society, Inc. or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the Site without our prior written consent, except for personal, non-commercial use.
The Enterprise Preservation Society name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of EPS. You may not use such marks without our prior written permission.
8. USER ACCOUNTS
If you create an account on the Site, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. EPS is not liable for any loss or damage arising from your failure to protect your account information.
9. DISCLAIMER OF WARRANTIES
THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EPS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
EPS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. EPS DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITE.
10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENTERPRISE PRESERVATION SOCIETY, INC., ITS BOARD OF DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- YOUR USE OF OR INABILITY TO USE THE SITE
- ANY PURCHASES MADE THROUGH THE SITE
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN
- ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE
- ANY ERRORS OR OMISSIONS IN ANY CONTENT ON THE SITE
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS EXCEED THE AMOUNT YOU PAID TO EPS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Enterprise Preservation Society, Inc., its board of directors, officers, employees, volunteers, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any third-party rights.
12. THIRD-PARTY LINKS AND CONTENT
The Site may contain links to third-party websites, including sponsor websites, social media pages, and other external resources. These links are provided for your convenience only. EPS does not endorse and is not responsible for the content, products, services, or privacy practices of any third-party websites. Your use of third-party websites is at your own risk.
13. EVENT-SPECIFIC TERMS
Events hosted by EPS, including but not limited to the Enterprise Chili Cook-Off, may have additional terms and conditions, rules, and requirements. By purchasing tickets or participating in any EPS event, you agree to comply with all applicable event-specific terms. EPS reserves the right to reschedule or cancel events due to weather, safety concerns, or other factors beyond our control.
14. TAX-EXEMPT STATUS
Enterprise Preservation Society, Inc. is a nonprofit organization. Donations made to EPS may be tax-deductible to the extent permitted by law. EPS does not provide tax advice. Please consult your tax advisor regarding the deductibility of your contribution.
15. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Volusia County, Florida, and you consent to the personal jurisdiction and venue of such courts.
16. DISPUTE RESOLUTION
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts as described in Section 15.
17. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
18. WAIVER
The failure of EPS to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by EPS.
19. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any additional terms and conditions applicable to specific products, services, or events, constitute the entire agreement between you and Enterprise Preservation Society, Inc. regarding your use of the Site and supersede all prior agreements and understandings.
20. CHANGES TO THESE TERMS
We reserve the right to modify or replace these Terms at any time at our sole discretion. Changes will be effective immediately upon posting to the Site with an updated "Last Updated" date. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
